1. Acceptance of Terms

By accessing and using Fray Spot ("the Platform"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and Fray Spot Limited, a company incorporated under Nigerian law.

2. Platform Description

Fray Spot is a peer-to-peer online gaming tournament platform that allows users to:

• Participate in competitive gaming tournaments
• Compete for cash prizes
• Manage gaming profiles and statistics
• Process payments and withdrawals

3. Eligibility and Account Registration

Eligibility Requirements

• Must be at least 18 years old
• Must be a legal resident of Nigeria
• Must have legal capacity to enter into contracts
• Must not be prohibited from using the Platform under Nigerian law

Account Responsibilities

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• One account per person - multiple accounts are prohibited

4. Tournament Rules and Fair Play

General Tournament Rules

• All participants must follow game-specific rules
• Cheating, hacking, or exploiting game mechanics is strictly prohibited
• Match results must be reported accurately with evidence
• Disputes will be resolved by our moderation team

Prohibited Conduct

• Using unauthorized software or modifications
• Harassment, abuse, or unsportsmanlike conduct
• Sharing accounts or allowing others to play on your behalf
• Attempting to manipulate tournament outcomes

5. Financial Terms

Entry Fees and Payments

• Entry fees must be paid before tournament participation
• All payments are processed securely through Paystack
• Fees are non-refundable except in cases of tournament cancellation
• Platform fees may apply to transactions

Prize Distribution

• Prizes are distributed according to tournament rules
• Winners must provide valid bank account information
• Prize payments are subject to applicable taxes
• Unclaimed prizes may be forfeited after 90 days

Withdrawals

• Minimum withdrawal amount: ₦1,000
• Withdrawals processed within 1-3 business days
• Valid Nigerian bank account required
• Identity verification may be required

6. Intellectual Property

The Platform and its content, including but not limited to text, graphics, logos, and software, are owned by Fray Spot Limited and protected by Nigerian and international intellectual property laws.

You are granted a limited, non-exclusive license to use the Platform for its intended purpose. You may not reproduce, distribute, or create derivative works without our written permission.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which complies with the Nigeria Data Protection Regulation (NDPR).

8. Platform Availability and Modifications

We strive to maintain Platform availability but cannot guarantee uninterrupted service. We reserve the right to:

• Modify or discontinue features with reasonable notice
• Perform maintenance and updates
• Suspend service for security or legal reasons
• Update these Terms with 30 days notice

9. Limitation of Liability

To the maximum extent permitted by Nigerian law, Fray Spot Limited shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Technical failures or interruptions
• Actions of third parties or other users

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Fray Spot Limited from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Platform
• Your violation of any third-party rights
• Any false or misleading information you provide

11. Termination

We may terminate your account for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended period of inactivity
• At our discretion with reasonable notice

Upon termination, your right to use the Platform ceases immediately. Outstanding balances will be processed according to our standard procedures.

12. Dispute Resolution

Resolution Process:

1. Contact our support team for informal resolution
2. Formal mediation if informal resolution fails
3. Arbitration under Nigerian Arbitration and Conciliation Act
4. Nigerian courts as final resort

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
